Specific deliverables, timelines, and fees are defined in your quote, proposal, statement of work, or invoice.
2. Instant Quotes & Estimates
The Instant Quote tool and published offer prices (including promotional packages such as landing pages or portfolio sites) provide estimates for discussion. Final pricing may change based on scope, content readiness, third-party costs, revisions, integrations, or other project requirements. A quote is not a binding contract until confirmed in writing by Kelly Kode and accepted by you.
3. Accounts & Client Portal
If you access admin.kellykode.com or related client tools, you are responsible for safeguarding login credentials and for activity under your account. Notify us promptly of unauthorized access. We may suspend access to protect security or for non-payment.
4. Your Responsibilities
- Provide accurate project information, brand assets, and timely feedback
- Ensure you have rights to materials you supply (logos, copy, images, data)
- Use our services only for lawful purposes
- Pay invoices according to agreed terms
5. Intellectual Property
Unless otherwise agreed in writing:
- Kelly Kode retains ownership of pre-existing tools, frameworks, templates, and know-how
- Upon full payment, you receive rights to the final deliverables created specifically for your project as described in your agreement
- We may showcase completed work in our portfolio and marketing unless you request otherwise in writing before launch
6. Hosting, Domains & Third-Party Services
Some offers include hosting, domain, email, or platform components managed by us or third parties (for example WordPress, Shopify, Webflow, cloud providers). Those services may be subject to third-party terms and renewals. We are not responsible for outages, policy changes, or fees imposed by third-party platforms outside our control.
7. Support Packages
Ongoing support tiers (maintenance, standard, premium, unlimited, or similar) cover the scope described at purchase. Unused support time typically does not roll over unless stated otherwise. Support does not include major redesigns, new feature builds, or unrelated projects unless separately quoted.
8. Payments
Fees are due as invoiced. Work may be paused for overdue balances. Promotional “one-time” offers are subject to stated inclusions and exclusions (for example add-on email pricing). Refunds, if any, are handled case-by-case according to your written agreement and work already performed.
9. Acceptable Use
You may not misuse the site or services to distribute malware, scrape without permission, attempt unauthorized access, spam, infringe IP rights, or engage in unlawful activity. We may suspend or terminate access for violations.
10. Disclaimers
The website and free tools are provided “as is.” While we aim for excellence in delivery, we do not guarantee specific business results (for example rankings, traffic, conversions, or revenue) unless expressly stated in a signed agreement. SEO and marketing outcomes depend on many factors outside our sole control.
11. Limitation of Liability
To the maximum extent permitted by law, Kelly Kode and THINKPROD PRIVATE LIMITED are not liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of the site or services. Our total liability for any claim related to a project is limited to the fees you paid us for that project in the three (3) months preceding the claim.
12. Indemnity
You agree to indemnify and hold us harmless from claims arising out of content you provide, your misuse of the services, or your breach of these Terms.
13. Privacy
Personal information is handled as described in our Privacy Policy. By using the site or submitting forms, you acknowledge that policy.
14. Changes

These Terms are governed by applicable laws of India, without regard to conflict-of-law principles, unless a signed project agreement specifies otherwise. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction for disputes arising from these Terms, except where mandatory consumer protections require otherwise.
